Name Search and Reservation

The registration process for WFOE starts with name availability search. We suggest you think of 3 or 4 names (in Chinese) in case that your preferred option in unavailable.

Centre O can perform name availability search for you with the local industry and commerce administration. Just email us at sales@centreo.hk.

Reservation of the Company Name

After we confirm that the name you want to choose for your company is available, we will go on to reserve that name on your behalf through the local Administrative Bureau for Industry and Commerce (AIC). This is called name pre-registration in China.

So what requirements are there for WFOE name? The name should follow the following format:

Administration region + Business Name + Industry +Limited or Business Name + Industry + (Administration Region) + Limited

Briefly about Stephen:

WFOE: ESTABLISHING A WFOE IN CHINA – THE PRACTICAL THINGS YOU WILL NEED TO KNOW (before registering a WFOE)

Establishing a WFOE

Lease of Office Space

The investor/owner will need to sign a lease agreement for an office space for a minimum of twelve months. The office must be located ion a commercial building.

Note: for a WFOE company who intend to conduct import/export business, the office space should be at least 80 square meters.

 Identifying documents

The investor is also required to have the identifying documents of the shareholders legalized by the Chinese Embassy in the country of residence. If the shareholder is a corporation – the identifying documents needed to be legalized are corporation documents. If the shareholder is an individual, the documents to be legalized are passport (foreign or identity card) or a Home  Return Permit for Hong Kong residents.

 Bank’s Reference Letter

The investor needs to arrange with their bank to provide a bank reference letter. The banker’s reference letter is one of the documents needed for registration.

 Other documents

At the same time the investor must prepare other documents, such as passport copies, Hong Kong identity cards, Home Returning cards for shareholders, directors, legal representatives and general manager.

办公空间租赁
投资者/业主需要签署至少 12 个月的办公空间租赁协议。办公室必须位于商业大楼内。
注：拟开展进出口业务的外商独资企业，办公面积至少为80平方米。
 识别文件
投资者还需要持有中国驻所在国大使馆认证的股东身份证明文件。如果股东是公司，需要合法化的身份证明文件是公司文件。如果股东是个人，需要认证的文件是护照（外国或身份证）或香港居民回乡证。

投资者需要与他们的银行安排提供银行推荐信。银行家的推荐信是注册所需的文件之一。
 其他文件
同时，投资者必须准备其他文件，如护照复印件、香港身份证、股东、董事、法定代表人和总经理的回国证。

外商独资企业的注册过程从名称可用性搜索开始。我们建议您考虑 3 或 4 个名称（中文），以防您的首选选项不可用。
