New Companies Ordinances P.2: Changes to Share Capital and Directors

Mandatory Regime of No-par: A company’s shares will have no nominal value and the new rule applies to all local companies with a share capital. The new ordinances contain transitional and deeming provisions relating to the move from par value shares to no-par value shares to aid smooth transition. All shares issued before the commencement date of the new ordinances are deemed to have no par value and a conversion process is not required. Amounts standing to the credit of a company’s share premium account and capital redemption reserve account become part of the company’s share capital. Individual companies may review their particular situation to determine if specific changes to their constitutional documents, contracts entered into by the companies etc. are required, having regard to their circumstances.

Statement of Capital: is included in a return or notice in a specified form, which is required to be delivered for registration whenever there is a change in a company’s share capital, e.g. an allotment of shares or a permitted alteration of share capital. The statement is a ‘snapshot’ of a company’s latest share capital and it will ensure up-to-date share capital information.

Restricting Corporate Directorship: Every private company must have at least one director who is a natural person, and a 6 months grace period is given after the commencement of the new ordinances for existing companies to comply with the new requirement.  A notification of change of directors should be delivered for registration in the specified form ND2A within 15 days of the changes.

New Companies Ordinances P.1: Changes to Constitutional Document and Common Seal

As of March 3rd this year there are New Companies Ordinances to improve the quality corporate governance, ensure better regulation, modernise the law and to make the process easier for businesses.

Highlights of Major Changes: Constitutional Document and Common Seal

Abolition of Memorandum: Memorandum of Association is no longer needed for all local companies, and Articles of Association is now the constitutional document of a company. For companies registered under Cap. 32 (“existing companies”), current terms in the Memorandum of Association will be regarded as provisions in their Articles of Association. Table A in the First Schedule to Cap. 32, in so far as not modified by the provisions of the new CO, will continue to apply to existing companies which adopt Table A as their Articles of Association.

Model Articles: are prescribed under the new CO for use by private companies limited by shares, public companies and companies limited by guarantee.

Common Seal: remains same

公司注册处现有的表格将被新的指明表格取代,这些表格在表格编号中以前缀“N”表示,以便于识别,例如表格 NAR1、ND2A、NNC1。
使用指明表格的过渡安排:大部分现有表格会在新条例生效日期起计三个月的过渡期内接受登记,但部分表格的过渡期较短或没有过渡期。
过渡性安排的例外情况:表格 DR1(撤销注册申请)、表格 M2(清偿备忘录或财产免责书)、表格 N12(非香港公司在香港经营业务的核准名称声明),表格 NCI 和 NCIG(公司注册表格)不会在新条例生效后立即接受注册,而表格 M1(抵押或收费详情)将在新条例生效之日起8 周内接受。

新公司条例第四页:文件交付、会议和收费的变更

文件的交付:如果公司注册处处长(处长)没有收到文件,该文件将被视为没有交付给处长以满足新公司条例的规定。
 
股东大会:经股东一致同意,公司可免除召开年度股东大会。股东周年大会应参照会计参照期举行,股东大会可以使用任何技术在多个地点举行。
收费标准:经认证的文书或证明收费的副本或需要进行任何仪器证明收费的满意度或释放的核证副本与相关规定的形式向处长注册交付,并为登记时间收费改为1个月。文书和指定表格均会存档并供公众查阅,并且文书的核证副本在注册后将不会退还给呈交人。
请注意,如果文书的副本由董事或公司秘书或公司授权的人或任何其他对押记感兴趣的人核证为真实副本,则该文书的副本为经核证副本。

新公司条例第三页:周年申报表及账目的变更

年报
私人公司:申报要求不变,应在申报日后42天内,即公司成立之日的周年日内申报周年申报表。
上市公司和担保公司:如果公司的财政年度在新公司条例生效日期之前开始并在该日期或之后结束,则应在公司报告日期后的42 天内继续提交周年申报表。公众公司的返回日期为公司会计参照期结束后的6 个月,担保公司的返回日期为公司会计参照期结束后的9 个月。会计参照期是指公司编制年度财务报表所参照的时期。
请注意,上述所有类型的公司延迟提交年报需要缴纳更高的注册费,并且以不变证书(表格 AR2 或 AR3)形式提交的年报将过时,并且不会被接受根据新条例注册。
帐目及报告:符合以下任何两项条件的私人公司有资格进行简化报告,如果:a) 年总收入不超过 1 亿港元,b) 总资产不超过 1 亿港元,或 c)财政年度平均雇员人数不超过100人。如想编制简化财务报表及董事报告,建议寻求专业意见。

无面值的强制性制度:公司的股票没有面值,新规则适用于所有拥有股本的本地公司。 新条例包含有关从面值股份到无面值股份的过渡性和推定性规定,以帮助平稳过渡。在新条例生效日期之前发行的所有股份都被视为没有面值,不需要转换过程。记入公司股份溢价账和资本赎回储备账的金额成为公司股本的一部分。个别公司可检讨其特定情况,以决定是否需要对其章程文件、公司订立的合约等作出具体更改,以考虑其情况。
股本报表:包含在以指定形式提交的申报表或通知中,每当公司股本发生变化(例如分配股份或允许更改股本)时,均须交付登记。 该声明是公司最新股本的“快照”,它将确保获得最新的股本信息。
限制公司董事:每家私人公司必须至少有一名自然人董事,并在新条例生效后给予6 个月的宽限期 ,让现有公司遵守新要求。董事变更通知应在变更后 15 天内以指定表格 ND2A 提交登记。

When expecting to just find out about their coffee establishment, I ended up going to Rabbithole Coffee and Roaster  and getting a mind-blowing coffee experience I have never received before! Greeted with a warm welcome from the staff, the café gives off a laid back and relaxing atmosphere. I could see myself coming down after work just to sit back and relax to a nice cup of coffee.

I have always been a coffee lover, let me rephrase, a coffee drink lover (would better define me), but who knew there was so much love, science and technicality behind one cup? Connie (staff member) showed me the path down the rabbit hole on a journey of coffee knowledge. It was an information overload, more than I could grasp, and I was loving every second of it!

On a fortnightly basis the café receives fresh fair trade coffee beans, 3-6 varieties all coming from difference regions, to meet the acquired taste of coffee lovers. Here are the basics that I gathered, Coffee can have high to low acidity which gives off the citrus flavour. The temperature of the milk and coffee has to be just right to give you the balanced smooth taste.

Coffee cherry is the original coffee, which has a tea like taste.

Next stop was hand drip coffee, which is high in caffeine than the normal espresso, yet the taste is lighter.

Through this session I learnt a lot about coffee and the Rabbithole family, the staff have a passion for coffee and customer service to them is key. Open to sharing their coffee culture and serving up only the finest of coffees to all, the Rabbithole Coffee and Roaster is a cozy coffee café off the beaten track.

Re-using plastic bottles? Be Careful! Not All Plastic Bottles Are Safe to Use Multiple Times.

Plastic Bottle Correct Use

Our world today is all about recycling. More than ever before we use plastic packaging for food products. A  water bottle is probably the number one plastic container in use these days.

And please do not get this wrong: there is nothing bad about drinking water from plastic bottles. BUT there are rules that need to be followed to keep you and your loved ones safe. And sometimes we are simply not aware of them.

You may have heard the story of the girl who got cancer from using the same plastic bottle? Well, we are not here to scare you into carrying a porcelain cup wherever you go. All we want to do is go over a few rules when dealing with plastic. I mean it is better to be safe than sorry, right?

Actually, plastic bottles tell the story themselves. All you have to do is pay attention.

Take a look at the bottom of the bottle. You will see a small triangle with a figure.

Health advocates recommend not reusing bottles made from #1 PET or PETE (polyethylene terephthalate). According to The Green Guide such bottles are safe for one-time use, but re-use should be avoided, as studies indicate they may leak DEHP  – another probable human carcinogen – when they are in less-than-perfect condition.

Let’s break it down:

PET polyethylene terephthalate resin is commonly used for manufacturing mineral water bottles and soda bottles

DO NOT: Heat them to 70 ℃  (causes deformation and release of harmful substances)

DO NOT: Use #1 plastic after 10 months, as they may release carcinogenic DEHP

DO NOT: Leave them in the sun, car or any heated environment

DO NOT: Use them to keep wine, oil or any other substances

HDPE (high density polyethylene) is commonly used for making white bottles, containers for bath products and cleaning materials.

DO NOT: Use these containers for storage of other items

DO NOT: Recycle them

PVC is commonly uses to make raincoats, plastic film, plastic boxes and so on.

This material is rarely used in food packaging.

DO NOT: Heat it

DO NOT: Try to clean it and use for keeping food.

PE (Polyethylene) is commonly used for making common plastic wrap.

DO NOT: Use this material in heated environment (like wrapping food for the microwave).

bottle_5 PP (polypropylene) is commonly used for making milk bottles, yoghurt bottles, juice bottles, microwavable meals and so on. Their melting point is 167 ℃.

NOTE: Pay attention to the materials used for manufacturing the lid of the container. Quite often the lids are made from different materials, such as PE and can not withstand high temperatures.

PC polystyrene is commonly used to make instant noodle bowls and snacks.

DO NOT: Put them into microwaves, as chemicals can be released at high temperatures

Other PC include materials used for manufacturing common kettles, space cups and bottles. They are often used for gift packaging.

DO NOT: Use them in a heated environment, as harmful substances (such as bisphenol A) may be released.
