Inland Revenue Department deals with all the tax and revenue aspects of your company! Here are the different floors you will be dealing with:

1st Floor = For all collection of tax return, they have date chop service, for you to track down your filing dates!
3rd Floor = Get your agreement duty stamped levy paid & share transfer.

关于香港公司形式的小提示：董事和股东的基本规则和建议

如果您想在香港开展自己的业务，尽管与其他国家/地区相比，这里更容易、更快捷，但还是需要遵循一些基本规则。

任何人都可以在香港设立有限责任公司。有限责任公司是由董事、股东和秘书组成的法人实体，董事负责公司的日常运营，股东通过持股方式拥有公司，秘书负责公共管理任务，例如确保按时完成年度报告，通知公司内部的任何变化，例如变更等。

香港有限责任公司不要求董事或股东为本地人，他们都可以居住在香港以外的任何国籍。《公司条例》只是要求个人必须年满 18 岁才能持有香港有限责任公司的股份。例如，我们的一位客户希望他的家人成为他在香港的新公司不可或缺的一部分，他希望将他 3 岁的孩子作为公司的股东，这不是可能，只可以包括他的妻子或任何 18 岁以上的孩子，但不能包括未成年的孩子。

最常用的公司类型是有限责任公司；创始人可以利用任何在香港成立的公司的所有税收优惠。
对于在香港成立的有限责任公司，公司名称不得与已使用并列入公司名称索引的任何其他公司名称相同。您可以免费搜索企业名称，如果您在注册表中找不到您要用于您的业务的名称，那这个名称是您的了！但您不能使用已在使用或正在注册的名称， 已在使用的名称可在香港商业注册网站上找到。

Un petit rappel sur la formation d’entreprise à Hong Kong: les règles de base et conseils pour les directeurs et actionnaires

Il y a quelques règles de base à suivre si vous voulez créer votre propre entreprise à Hong Kong, même si il est plus facile et plus rapide de le faire ici comparé à d’autres pays.

N’importe qui peut former une société à responsabilité limitée à Hong Kong. Une société à responsabilité limitée est une entité légale composée de directeurs, actionnaires et d’un secrétaire. Le Directeur est responsable des activités quotidiennes de la société. L’Actionnaire est propriétaire de la société par le biais de détention d’actions. Le Secrétaire est responsable des tâches d’administrations publiques comme de s’assurer que les rapports annuels sont effectués dans les délais, notifier quelconque changement au sein de la société, comme un changement d’adresse, etc.

Les sociétés anonymes de Hong Kong n’exigent pas que les directeurs ou actionnaires soient locaux, ils peuvent tous résider en dehors de Hong Kong et être d’une quelconque nationalité. Le décret des entreprises exige simplement qu’un individu doit être âgé de plus de 18 ans pour pouvoir détenir des actions dans une société à responsabilité limitée de Hong Kong. Par exemple, un de nos clients souhaitait que sa famille fasse partie intégrante de sa nouvelle société à Hong Kong, et il voulait inclure son enfant de 3 ans en tant qu’actionnaire de l’entreprise. Ce n’était donc pas possible. Il peut inclure sa femme ou tout enfant âgé de plus de 18 ans, mais pas un enfant mineur.

La société à responsabilité limitée est le type de société le plus couramment utilisé ; le fondateur peut profiter de tous les avantages fiscaux disponibles pour n’importe quelle entreprise correctement formé à Hong Kong.
Pour les sociétés à responsabilité limitée formées à Hong Kong, le nom de l’entreprise ne peut pas être identique à un autre nom d’entreprise déjà utilisé et figurant dans l’index des noms de sociétés, gardé par le registre des entreprises. Vous pouvez faire une recherche de nom d’entreprise gratuitement avant de décider quel sera le votre. Vous ne pourrez pas utiliser un nom qui est déjà en cours d’utilisation ou en train d’être enregistré. On trouve les noms déjà utilisés sur le site du registre des entreprises de Hong Kong. Si vous ne trouvez pas le nom que vous souhaitez utiliser pour votre entreprise dans le registre, il est à vous !
