COMPANIES IN HONG KONG WITH FOREIGN PARENT COMPANIES

IN 2NoneSince 2000, InvestHK and Census and Statistics Department have collaborating to conduct an annual survey. Hence, the most popular type is the companies have their foreign parent companies located outside Hong Kong. 

The survey report helps the entrepreneurs better understand the situation of Hong Kong as a leading international business and financial centre. Moreover, Hong Kong is a destination for foreign direct investment as well.

What are the findings? 

Number of Business with Foreign Parent Companies

In 2017, the number of companies with parent companies outside Hong Kong was only 8225, whereas, the number of business operations in Hong Kong with parent companies located outside Hong Kong was 9025 in 2020. By comparing to 2017 which was 8225. There is a rise in 10%.  Nevertheless, the total number of regional headquarters was 1504. There is 6% increase as well.

In summary, source country/territory, major sources of the parent companies Mainland China ranked the first with 1986 companies, followed by Japan (1398), the United States (1283), then the United Kingdom (665) and then Singapore (453).

新检查制度的开始——第一阶段

七月份公司注册公报的新检查制度进一步完善。根据《公司条例》(第 622 章)对公司登记册进行新检查制度的第一阶段于 2021 年 8 月 23 日开始 。
自 2021 年 8 月 23 日起,公司可拒绝公众查阅董事的常住住址和董事的完整身份识别号码 (“IDN”)。此外,包括在公司保存的董事名册和公司秘书名册中的公司秘书。尽管如此,公司应在其自己的董事登记通讯地址以及董事和公司秘书的部分 IDN 中供公众查阅。
第一阶段常见问题
1/ 首先,对于地址有什么限制?
根据第 643(1)(a)(ii)、(2)(b) 或 (3)(b) 条(与 通讯地址有关)。以及《公司条例》第 643(5) 条。公司的董事名册 须载有其自然人董事或后备董事(“指定董事”)的通讯地址, 且该地址不得为 邮政信箱号码。
2/ 在第 1 阶段开始时,是否有任何与遵守第 643(1)(a)(ii)、(2)(b) 或 (3)(b) 条规定有关的过渡安排?新的检查制度?
是的,有过渡安排。安排如下:
(A) 在新视察制度第二阶段开始日期或之后的公司首个周年申报表日期之前,公司董事名册无须载有指明董事的通讯地址,除非 ——
(i) 某董事的资料于第二阶段开始日期或之后首次记入董事名册 ;或者
(ii) 在第 2 阶段的开始日期或之后,对载于董事名册的指定董事的详情作出任何更改 。
(B) 公司注册办事处的地址将被视为指明董事的 通讯地址,直至以下两者中的较早者 ——
(i) 公司将某董事的 通讯地址记入其董事名册的日期;
(ii) 公司在第二阶段开始日期或之后的首个周年申报表日期 。
 
(C) 在第 2 阶段开始前,公司无需根据 《公司条例》第 645(4) 条向公司注册处处长(以下简称“处长”)就 以下各项 ——
(i)将某董事的通讯地址记入公司的董事 名册;或者
(ii) 更改载于公司董事名册内的某董事的通讯地址 。
(D) 如果在紧接第 2 阶段开始之前,某董事的通讯地址包含在公司的董事名册中, 并且该地址不是公司注册办事处的地址。因此,该公司须在第 2 阶段开始后 15 天内,根据第 645(4) 条就某董事的通讯地址 向处长交付通知 。
3/ 是可以在公众检查中隐瞒我的公司信息吗?
是的,根据《公司条例》第 644 和 651 条,公司可不提供公众 查阅其董事名册和公司秘书名册中所载的指定董事的 URA 以及指定董事和公司秘书的 完整 IDN  。 
4/ 最后,可以保留我的完整身份证号码吗?
不可以,《2021 年公司记录(查阅和提供文本)(修订)条例》 规定,对于 IDN,不得隐瞒号码的第一部分。对数字第一部分的引用是:
(a) IDN 包含偶数个字母数字字符 的序列,必须显示该序列的前半部分;或者
(b) IDN 包含一个由奇数个字母数字字符 组成的序列,必须显示以序列中的第一个字符开始并以位于序列中间的字符结束的部分 。

COMMENCEMENT OF NEW INSPECTION REGIME – PHASE 1

Further the new inspection regime for the Company Register gazette in July. Yet, Phase 1 of a new inspection regime of the Companies Register under the Companies Ordinance (Cap. 622) commenced on 23 August 2021.

From 23 August 2021, companies may withhold from public inspection the usual residential addresses of directors and full identification numbers (“IDNs”) of directors. Moreover, company secretaries as contained in the registers of directors and registers of company secretaries kept by the companies. Nevertheless, companies are to make available for public inspection on their own registers correspondence addresses of directors and partial IDNs of directors and company secretaries.

FAQ about Phase 1

1/ Firstly, what is the restriction about the corresponding address?

In accordance with section 643(1)(a)(ii), (2)(b) or (3)(b) (it relates to a correspondence address). And section 643(5) of the CO. On the whole, a company’s register of directors are required to contain a correspondence address of its director or reserve director who is a natural person (“specified director”) and such address must NOT be a post office box number.

2/ Following, are there any transitional arrangements in relation to compliance with the requirement under section 643(1)(a)(ii), (2)(b) or (3)(b) upon the commencement of Phase 1 of the New Inspection Regime?

Yes, there are transitional arrangements. The arrangements as below:

(A) The register of directors of a company need not contain a specified director’s correspondence address before the company’s first annual return date on or after the commencement date of Phase 2 of the New Inspection Regime, unless –

(i) the particulars of the specified director are first entered in the register of directors on or after the commencement date of Phase 2; or

(ii) any change is made to the particulars of the specified director contained in the register of directors on or after the commencement date of Phase 2.

(B) The address of the company’s registered office is to be regarded as the correspondence address of the specified director until whichever is the earlier of the following –

(i) the date on which the company enters the specified director’s correspondence address in its register of directors;

(ii) the company’s first annual return date on or after the commencement date of Phase 2.

 

(C) Before the commencement of Phase 2, a company does not need to deliver to the Registrar of Companies (“the Registrar”) a notice under section 645(4) of the CO for –

(i) entering in the company’s register of directors a correspondence address of a specified director; or

(ii) making any change to a specified director’s correspondence address contained in the company’s register of directors.

(D) In additional to this, if, immediately before the commencement of Phase 2, a specified director’s correspondence address was contained in the company’s register of directors and such address was not the address of the company’s registered office. Thus the company is required to deliver to the Registrar a notice under section 645(4) in relation to the specified director’s correspondence address within 15 days after the commencement of Phase 2.

3/ Conversely, can I withhold my company information from the public inspection?

Yes, pursuant to sections 644 and 651 of the CO, a company may withhold from public inspection the URAs of specified directors and full IDNs of specified directors and company secretaries as contained in its register of directors and register of company secretaries. 

4/ Lastly, can I withhold my full Identity number?

No, the Company Records (Inspection and Provision of Copies) (Amendment) Regulation 2021 provides that in respect of IDNs, the first part of the number must not be withheld. In summary, a reference to the first part of the number is a reference to

(a) The IDN comprises a sequence of an even number of alphanumeric characters, the first half of the sequence must be shown; or

(b) The IDN comprises a sequence of an odd number of alphanumeric characters, the part that begins with the first character in the sequence and ends with the character that falls on the middle of the sequence must be shown.

5/ Can I have the examples of first part of the IDN?

The annual survey from InvestHK and Census and Statistics Department has another target population. Now we are going to discuss another survey findings about the non-local founders / Startups with origin country/territory. 

What is the features of Non-Local Founder in Hong Kong

Number of Non-Local Founders

According to the 2020 survey, a total of 3360 startups in operation. In short, it is representing an increase of 50% over 2017. Furthermore, the continued growth in the number of startups over the years is evidence of the vibrant environment of Hong Kong as a leading hub for startups.

The total of 3360 startups, generating employment in 2020. By comparing with 2017, there is a rise in 69%.

The report shows that the startup community is highly international. While 69% of the startup founders are from Hong Kong and 5% are Hong Kong returnees. Then 26% comes from outside Hong Kong.  Whereas, the Mainland (15%), the United Kingdom (12.3%), the United States (10.7%) and Australia (9.1%) are the key origins of the startup founders.

Thus, the study demonstrating that entrepreneurs and talents from different parts of the world are attracted to Hong Kong. The local business sector has been facing various challenges over the past year. From the US-China trade conflict to social unrest in Hong Kong, and more recently the COVID-19 pandemic. Among all difficulties, the surge of COVID-19 cases in various parts of the world has negative impact on global businesses. 公司注册处对提交文件硬拷贝时的纸质标准的要求

纸张设置:
内容页边距:每个内容页的四边各 5 毫米
首页边距:顶部和底部边距分别至少为 35 毫米和 50 毫米。
包含 2 张或更多张纸的文件应在左上角装订固定在一起。
双面打印是可以的。文档第二页上的信息应打印在第一页的背面。

COMPANY REGISTRY REQUIREMENT ON PAPER STANDARD WHEN FILING HARDCOPIES OF DOCUMENT

Even though e-Registry or electronic submission became prevailing trend. Still some people will file hardcopies of document to Company Registry. If you are one of those, you should keep an eye on the paper standard and requirement. 

What is the Paper Standard and Requirement?

  • Plain, white, medium weight A4 paper with matt surface. That is, grammage not less than 76gsm and 201mm x 297mm size
  • The text must be printed or typed clearly and legibly on paper in portrait format in permanent black ink with uniform density. Font size at least size 10.
  • Paper Setting:
    • Content Page Margin: 5 mm on all sides of each content page
    • First Page Margin: at least 35mm & 50mm on top and bottom margin respectively.
  • Document comprises with 2 or more sheets should fastened together securely at the top left corner.
  • Duplex printing is acceptable. Information on the second page of a document should print on the reverse side of the first page.
  • For separately bound shareholders’ list, you can print the list out on lined paper and paper size is larger than A4. You can use 24-pin type dot matrix printer using the enhanced mode.

NEW INSPECTION REGIME FOR THE COMPANIES REGISTER

The Government gazetted updates to the Companies Ordinance introducing the new address inspection regime for the Companies Register. In addition to this, the new subsidiary legislation will be launched in 3 phases.

Correspondence Address Replace Residential Address

The subsidiary legislations stipulate that the Companies Registry (CR)’s Companies Register is to make available for public inspection. Hence, directors’ correspondence addresses will replace of their usual residential addresses (URAs). Nevertheless, partial identification numbers (IDNs) of directors, company secretaries and other relevant people in place of full IDNs. 

Reasons for the New Legislation?

In view of rising community concern over whether personal information contained in public registers is adequately protected. The Government considers it appropriate to implement the new inspection regime under the Companies Ordinance now. In order to enhance personal information while ensuring that the public can continue inspecting the register. 

Who can access the information? 

Under the new regime, specified people may access URAs and full IDNs which are categorised as protected information. 

Specified people include data subjects and those they authorise. In general, the company’s members; public officers, public bodies and people or organisations who need to use protected information for executing statutory functions; lawyers practising in law firms and practising accountants; banks; and financial institutions and designated non-financial businesses and professions regulated under the Anti-Money Laundering & Counter-Terrorist Financing Ordinance. 

The new inspection regime will run in 3 Phases

Phase 1: Starting on 23rd August, 2021

The companies may replace directors’ URAs with their correspondence addresses, and directors’ and company secretaries’ full IDNs with their partial IDNs on their registers for public inspection.

Phase 2: Starting on 24th October, 2022

Particularly, protected information on the index of directors on the register will be replaced with correspondence addresses and partial IDNs for public inspection. Especially protected information contained in documents filed for registration after the commencement of this phase will not be provided for public inspection. However, specified people may apply to the CR for accessing protected information. 

Phase 3: Starting on 27th December, 2023

Data subjects may apply to the CR for protecting their protected information from public inspection contained in documents already registered with the CR before the commencement of phase two, and replace such information with correspondence addresses and partial IDNs. Specified people may apply to the CR for accessing protected information.
