国际消费电子展,俗称 消费电子展 (CES),是一个国际知名的电子和技术 贸易展,向公众开放。
一年一度的表演于每年一月份在美国 内华达州 拉斯维加斯的 拉斯维加斯会议中心 举行。
随着 2014 年 CES 的结束,我们有必要分享一些最新的、“令人难以置信的”和非常科幻的创新。
其中之一是俄罗斯初创公司 Displair 展示的新显示技术。他们用水蒸气墙创建了一个交互式触摸屏。基本上,它是一个全息图!
Displair 更有趣的应用之一是在电影中。该技术的创造者说,他们可以在不需要眼镜的情况下自然地显示 3D 图像。更令人印象深刻的是,该技术可以通过为蒸汽加载自定义气味来实现视觉嗅觉的真正回归,这些气味与广播动作相得益彰。

How to Fall Asleep Faster
Working hard and taking work home can often affect our sleep. Our daily problems can keep us tossing and turning for hours on end.
However, a good night’s rest is more important than we think. It can reinforce memories, make us more alert the next day and even maintain our mental health into old age. So how to fall asleep fast and ensure the best rest possible?
These simple steps will help you fall into a deep sleep in record time:
- Get into a comfortable position, close your eyes and squint slightly while looking upwards. This should not hurt at all.
2. Forbid all thoughts of words and music.`
3. When you close your eyes, concentrate on the images you see. Once you start seeing complete images – you are on the way to dreamland. (It’s ok to suddenly realize that you are doing it and thus waking yourself up a bit).
This techniques will usually get you sleeping in 2-7 min.
When you are worried about something, it is practically impossible to stop thinking about it. So try writing it down and thinking it through before bed. And then let go of the issue completely.

New Companies Ordinances P.5: Changes to Specified Forms
Existing forms of the Companies Registry will be replaced by new specified forms, these are denoted by the prefix ‘N’ in their form numbers for easy identification e.g. Forms NAR1, ND2A, NNC1.
Transitional Arrangements on Use of Specified Forms: The majority of existing forms will be accepted for registration during the transitional period of three months from the commencement date of the new CO but some forms have a shorter or no transitional period.
Exceptions of Transitional Arrangements: Form DR1 (Application for Deregistration), Form M2 (Memorandum of satisfaction or release of property from charge) , Form N12 (Statement of approved name for carrying on business in Hong Kong by a non-Hong Kong company), Forms NCI and NCIG (Incorporation Forms) will not be accepted for registration immediately upon commencement of the new CO, while Form M1 (Mortgage or charge details) will be accepted up to 8 weeks from the commencement date of the new ordinances.

New Companies Ordinances P.4: Changes to Delivery of Documents, Meetings and Charges
Delivery of Documents: If the Registrar of Companies (the Registrar) has not received a document, the document will be regarded as not having been delivered to the Registrar in satisfaction of the provisions of the new CO.
General Meetings: Companies may dispense with the holding of AGMs by unanimous shareholders’ consent. AGMs should be held with reference to the accounting reference period, and a general meeting can be held at more than one location by using any technology.
Charges: A certified copy of the instrument creating or evidencing a charge or a certified copy of any instrument evidencing satisfaction or release of a charge is required to be delivered with the relevant specified form to the Registrar for registration, and the time for registration of a charge has changed to one month. The instrument and the specified form will both be filed and made available for public inspection, as well as certified copies of the instrument will not be returned to presenters after registration.
Note that a copy of an instrument is a certified copy if it is certified as a true copy by a director or company secretary or a person authorised by the company or by any other person interested in the charge.

New Companies Ordinances P.3: Changes to Annual Returns and Accounts
Annual Returns
Private Company: No change in the filing requirements, annual return should be filed within 42 days after the return date, i.e. the anniversary of the date of the company’s incorporation.
Public Company & Guarantee Company: If the financial year of a company begins before the commencement date of new CO and ends on or after that date, the annual return should continue to be filed within 42 days after the company’s return date. The return date for a public company is 6 months after the end of the company’s accounting reference period, and for a guarantee company, 9 months after the end of the company’s accounting reference period. The accounting reference period is the period by reference to which the company’s annual financial statements are to be prepared.
Note that late submission of annual returns for all types of companies stated above, is subject to higher registration fees, and an Annual Return in the form of a Certificate of No Change (Forms AR2 or AR3) will become obsolete and will not be accepted for registration under the new ordinances.
Accounts & Reports: A private company is qualified for simplified reporting if it satisfies any two of the following conditions if, a) Total annual revenue does not exceed HK$100 million, b) Total assets does not exceed HK$100 million, or, c) Average number of employees during the financial year does not exceed 100. You are advised to seek professional advice if you wish to prepare simplified financial statements and directors’ reports.
